These terms (the “Terms and Conditions”) govern the use of https://commoncentsnc.com website and all pages contained within its sitemap (the “Site”) with JDCR, LLC d/b/a Common Cents NC, (collectively, “Common Cents,” “Uncommon Cents Commerce Center,” “us,” or “we”).
Please read these Terms and Conditions carefully before you start to use the Site. By using the Site you accept and agree to be bound and abide by these Terms and Conditions and our Privacy Policy (link), incorporated herein by reference. DISCLAIMER: Neither Common Cents NC nor its subdivision the Uncommon Cents Commerce Center engage in the business of selling any items that it deems as a rare coin; both entities transact only in circulated coinage and coins that a reasonable person could consider collectible. Common Cents NC nor its Uncommon Cents Commerce Center is a precious metals dealer.
Intellectual Property
Except where otherwise specified, all content and materials available through the Services—including but not limited to our logos, along with all designs, text, graphics, pictures, data, software, links, audio and video segments, and any associated intellectual property, as well as their compilation and organization (collectively referred to as the “Materials”)—are the exclusive property of Common Cents NC, or our licensors, suppliers, or users. These are safeguarded by copyright, trademark, and other legal protections under U.S. and international law. TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO CASE SHALL THE TOTAL LIABILITY OF THE COMMON CENTS NC PARTIES (COLLECTIVELY), WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE, OR ASSUMED), OR ANY OTHER LEGAL THEORY, ARISING FROM OR PERTAINING TO THE USE OR INABILITY TO USE THE SERVICES, INCLUDING THE INFORMATION, CONTENT, MATERIALS, AND FEATURES CONTAINED WITHIN, EXCEED ANY PAYMENT YOU PROVIDE, IF ANY, TO US FOR ACCESSING OR USING THE SERVICES.
THE RESTRICTIONS OUTLINED IN THIS SECTION SHALL NOT RESTRICT OR ELIMINATE LIABILITY FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE RESULTING FROM THE SERVICES WHERE THERE IS GROSS NEGLIGENCE, FRAUD, OR DELIBERATE, WILLFUL, MALICIOUS, OR RECKLESS MISCONDUCT OF THE COMMON CENTS NC PARTIES.
Indemnity
To the maximum degree allowed by applicable law, you commit to protect, indemnify, and shield Common Cents NC, along with our affiliates, subsidiaries, independent contractors, service providers, and consultants, as well as our and their respective directors, officers, employees, and agents (collectively with Common Cents NC, the “Common Cents NC Parties”), from and against any and all existing or potential lawsuits, actions, proceedings (whether legal or equitable), claims, damages, costs, liabilities, and expenses (together, “Claims”) stemming from or connected to (a) your use or improper use of the Services, (b) any User Content or Feedback you submit, (c) your breach of these Terms, or (d) your infringement of any third party’s rights. You promise to immediately inform Common Cents NC of any third-party Claims, assist the Common Cents NC Parties in defending such Claims, and cover all fees, costs, and expenses related to defending these Claims (including, but not limited to, attorneys’ fees). You also agree that the Common Cents NC Parties, at their exclusive discretion, will decide whether to take charge of the defense or resolution of any third-party Claims.
Governing Law and Jurisdiction
THESE TERMS ARE GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NORTH CAROLINA AND APPLICABLE UNITED STATES LAW, WITHOUT REGARD TO ANY CONFLICT OF LAWS PRINCIPLES. YOU AGREE THAT ANY LEGAL ACTION OR EQUITABLE PROCEEDING ARISING FROM OR RELATED TO THESE TERMS SHALL BE INITIATED SOLELY IN THE STATE AND FEDERAL COURTS LOCATED IN MECKLENBURG COUNTY, NORTH CAROLINA AND YOU HEREBY IRREVOCABLY AND UNCONDITIONALLY AGREE AND SUBMIT TO THE EXCLUSIVE AUTHORITY OF THOSE COURTS FOR ANY LAWSUIT, ACTION, OR PROCEEDING STEMMING FROM THESE TERMS OR USE OF OUR SERVICES OR SITE.
Changes to Terms and Conditions
We reserve the right to amend these Terms and Conditions at any time. Changes will be effective upon posting to the Site. Your continued use of the Site constitutes acceptance of the updated Terms.
